Acceptable Use Policy

Graylark Technologies, Inc. (“Graylark”) is committed to the highest level of ethics, integrity and professionalism and take steps to ensure that our source intelligence tools are used correctly and lawfully. Through this Acceptable Use Policy (“AAUP”) we seek to ensure that the Services are used in a safe, ethical, professional, and appropriate manner.

Customer will review this AAUP before accessing the Services, will at all times adhere to the rules of use as set forth herein, and will report any violation of this AAUP to compliance@graylark.io This AAUP applies to Customer and all individual users who access to the Services pursuant to Customer’s Agreement with Graylark (each, a “User”) and forms part of the Agreement between Customer and Graylark. Any terms not defined in this AAUP shall have the meaning set forth in the Agreement.

Graylark reserves the right to suspend or terminate access to the Services if we determine that a User or Customer has violated any provision of the AAUP.

Appropriate and Authorized Use

• Users shall not use the Services for personal purposes, or for any purposes which are not authorized and directed by Customer.

• Use of the Services in a way that contributes to harassment, stalking, swatting, cyberstalking, threats, abuse or bullying, or in furtherance of any violation of state, federal, local or any other applicable law, including coordinating, threatening, supporting, or facilitating harm against property or individuals, is strictly prohibited by this AAUP.

• Users are prohibited from using the Services uploading or providing Customer Data to Graylark that depicts a child known to be younger than sixteen (16) years of age, unless such Content concerns conduct or activity that the User reasonably and in good faith believes may violate federal, state, or local law or concerns an investigation or a matter related to public safety.

Export Information and Compliance with Laws

• United States export laws and regulations apply to the Services, and Customer agrees to comply with all such applicable restrictions. Customer may not access, download, use, or otherwise export, re-export, import, or distribute the Services or any underlying information or technology except in full compliance with all applicable laws and regulations, including of the United States and your local jurisdiction. By accessing the Services, Customer represent and warrant that it and all Users (1) are not a party to whom the United States prohibits access to the Services (e.g. a listed, debarred, sanctioned or involved in the proliferation of biological, chemical, nuclear or other weapons of mass destruction), (2) are not located in, under control of, or a national or resident of any country to which export of the Services (e.g. a country that is subject to a United States embargo) is restricted by laws of the United States or other applicable laws and regulations, and (3) will not share the Services with or distribute the Services to a party whose status is described in (1) and/or (2) above. Customer is solely responsible for compliance with the laws of its local jurisdiction and any other applicable laws regarding the import, export, or re-export of the Services.

Results and Verification

• Search results obtained through the Service and its related systems and technologies are indicative and not definitive. Graylark takes significant steps to ensure the accuracy of the results of our source intelligence, but we cannot guarantee the accuracy of search results. Customers should conduct further research and investigation to verify the accuracy of any search result.

• Search results produced by Graylark are not intended or permitted to be used as admissible evidence in a court of law or any court filing. We recommend consulting with legal counsel for further guidance in this regard.

Account Security

• Customer is responsible for all activity that occurs under a User’s account and for maintain the confidentiality of their username and password. If a User experiences unauthorized use of their username or password or any other security breach, Customer must immediately email the Graylark at compliance@graylark.io.
